These Terms of Service ("Terms") govern your access to and use of the Geowork platform, including the web application at geowork.app, the field worker mobile PWA, the supervisor dashboard, and any related APIs or services (collectively, the "Service") provided by GKTech Solutions, LLC ("Geowork," "we," "us," or "our").
By creating an account, accepting an invitation, or using the Service in any way, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Definitions
"Account" means a Geowork company workspace created by a Customer.
"Admin User" means a Customer user with administrative privileges, including the ability to invite workers, create jobs, manage billing, and export data.
"Authorized User" means any individual invited by a Customer to access the Service, including Admin Users, project managers, and field crew members.
"Customer Data" means all data submitted to, stored in, or processed by the Service by or on behalf of a Customer, including time entries, GPS coordinates, job records, messages, and worker profiles.
"Field Worker" means an Authorized User who accesses the Service primarily through the field crew mobile interface to record time entries, verify location, and communicate with dispatch.
"License Key" means a unique credential issued upon purchase that activates a Customer Account for the licensed subscription period.
"Service" means the Geowork software platform as described above.
"Subscription Plan" means the Monthly Plan ($699/month) or Annual Plan ($7,500/year, billed as $625/month equivalent) selected by the Customer.
2. Account Registration and Eligibility
2.1 Eligibility
You must be at least 18 years of age and have the legal authority to enter into contracts to use the Service. The Service is intended for business use by contractors, field service operators, and construction companies. Personal or consumer use is not permitted.
2.2 Account Creation
Customers create an Account by purchasing a Subscription Plan and redeeming a License Key. Field Workers access the Service through an invitation link generated by an Admin User. Accounts are tied to a single company. Multi-company use requires separate Accounts.
2.3 Accurate Information
You agree to provide accurate, current, and complete information when creating your Account and to keep that information up to date. Geowork reserves the right to suspend or terminate Accounts that contain false or misleading information.
2.4 Account Security
You are responsible for maintaining the confidentiality of your login credentials. Field Workers authenticate via phone-based OTP (one-time passcode). Admin Users authenticate via credentials set during Account setup. You agree to notify us immediately at support@geowork.app if you suspect unauthorized access to your Account.
3. License and Permitted Use
3.1 License Grant
Subject to these Terms and payment of applicable fees, Geowork grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your Subscription period for your internal business operations.
3.2 Authorized Users
Customers may invite an unlimited number of Authorized Users under a single Subscription Plan. Each Authorized User must agree to these Terms prior to using the Service. You are responsible for all actions taken by your Authorized Users.
3.3 Permitted Use
You may use the Service to:
- Create and manage job sites with geofenced boundaries
- Record and verify field worker clock-in and clock-out events via GPS
- Track time entries for payroll and labor compliance purposes
- Communicate between dispatch, supervisors, and field workers
- Generate and export time and attendance reports
3.4 Restrictions
You may not:
- Resell, sublicense, or provide the Service as a bureau service to third parties
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to track individuals without their knowledge in violation of applicable law
- Use the Service to harass, stalk, or discriminate against workers
- Circumvent any security, access control, or billing mechanism
- Use the Service in any manner that violates applicable law
4. Subscription Plans and Billing
4.1 Subscription Plans
Geowork offers two Subscription Plans:

Plan features are identical. The Annual Plan provides a price discount in exchange for a twelve-month commitment.
4.2 Payment Processing
All payments are processed by Stripe, Inc. ("Stripe") pursuant to Stripe's terms of service and privacy policy. By providing payment information, you authorize Geowork to charge your payment method through Stripe for all applicable fees.
Geowork does not store your full card number, CVV, or bank account details. Payment data is tokenized and handled entirely by Stripe in accordance with PCI DSS standards.
4.3 Billing Cycle
- Monthly Plan: Billed on the same calendar date each month beginning from the date of purchase. If a billing date falls on a day that does not exist in a given month, billing occurs on the last day of that month.
- Annual Plan: Billed in full at the time of purchase for the twelve-month period. Annual plans do not auto-renew unless you affirmatively choose to renew.
4.4 Automatic Renewal
Monthly Plans automatically renew each month unless cancelled at least 24 hours before the next billing date. You may cancel at any time through your Account settings or by contacting support@geowork.app.
4.5 Failed Payments
If a payment fails, Geowork will attempt to retry the charge up to three times over seven days. If payment remains outstanding after three attempts, your Account will be suspended and access to the Service will be disabled until payment is resolved. Customer Data is retained for 30 days following suspension before permanent deletion.
4.6 Price Changes
Geowork may change Subscription pricing upon at least 30 days' written notice to Admin Users. Price changes take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel before the change takes effect.
5. Refund Policy
5.1 Monthly Plans
Monthly Plans may be cancelled at any time. Cancellation stops future charges. No refunds or credits are issued for the current billing month in which you cancel, as access to the Service continues through the end of the paid period.
5.2 Annual Plans
Annual Plans are non-refundable once payment is processed. Please review the Service thoroughly using the demo environment before purchasing an Annual Plan. If you have a billing dispute, contact us at support@geowork.app within 14 days of the charge.
5.3 Demo Environment
Geowork provides a full-featured demo environment prior to purchase. No credit card is required to access the demo. We encourage all prospective customers to evaluate the Service before committing to a paid plan.
5.4 Exceptions
Refunds may be considered at Geowork's sole discretion in cases of: (a) documented technical failure that rendered the Service materially inoperable for more than 72 consecutive hours; or (b) billing errors attributable to Geowork. Refund requests must be submitted within 14 days of the relevant event.
6. Customer Data and Ownership
6.1 Customer Ownership
You retain all right, title, and interest in and to your Customer Data. Geowork claims no ownership of your time records, GPS logs, worker profiles, job data, or messages.
6.2 License to Customer Data
You grant Geowork a limited, non-exclusive license to access, process, store, and transmit Customer Data solely as necessary to provide the Service to you and as described in our Privacy Policy.
6.3 Data Accuracy
Geowork stores time entries and GPS coordinates as submitted. Geowork does not independently verify, audit, or certify that Customer Data is accurate or complete for any legal, regulatory, or payroll purpose. You are solely responsible for the accuracy and legality of your time records.
6.4 Data Portability
Upon request, Geowork will provide Customer Data in CSV format within 30 days. Requests should be sent to support@geowork.app.
6.5 Data Deletion
Upon termination of your Subscription, Geowork will retain Customer Data for 30 days to allow for export. After 30 days, Customer Data is permanently deleted from production systems. Residual copies in backup systems are deleted within 90 days following the standard backup retention cycle.
7. GPS Tracking and Worker Consent
7.1 GPS Tracking Scope
Geowork captures worker GPS location only during active clock-in sessions. Location data is not collected when a worker is clocked out, on an approved break marked in the system, or not actively using the Service.
7.2 Customer Responsibility for Consent
You are solely responsible for obtaining all required consents, notices, and authorizations from your field workers prior to using Geowork's GPS tracking features. This includes compliance with applicable state laws (including California Labor Code § 2804 and similar statutes), employment agreements, collective bargaining agreements, and any other applicable legal requirements.
Geowork recommends that Customers:
- Provide written notice to workers that the Service includes GPS-based location tracking during work hours
- Obtain written acknowledgment from workers prior to onboarding them to the Service
- Maintain records of worker consent in accordance with applicable law
7.3 No Tracking Off the Clock
Geowork does not track, store, or transmit worker location data when a worker is not clocked in. This is a technical control enforced at the application layer.
7.4 Geofence Boundaries
Job site geofences are set by Admin Users. Geowork does not establish geofence parameters. The accuracy of geofence enforcement depends on device GPS hardware, network conditions, and physical environment. Geowork does not warrant that geofence detection is accurate to any specific meter radius under all conditions.
8. Audit Trail and Immutable Records
8.1 Append-Only Ledger
Time entries in Geowork are stored in an immutable, append-only ledger. Entries cannot be deleted or modified once submitted. Corrections are handled by creating new entries with a reference to the original, preserving a complete audit chain.
8.2 Audit Hash
Geowork generates a display hash for each verified clock-in event based on the entry ID, timestamp, and job site identifier. This hash is provided for reference only and does not constitute a cryptographic certificate of authenticity for legal proceedings. Geowork makes no warranty that audit hashes satisfy any specific evidentiary standard.
8.3 No Deletion by Users
Field Workers and Admin Users cannot delete time entries. Corrections must be made by creating amendment entries. This design is intentional to maintain the integrity of payroll and attendance records.
9. Third-Party Services
Geowork integrates with or relies upon the following third-party services:

Geowork is not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party services integrated with Geowork may be subject to those providers' own terms and privacy policies.
10. Acceptable Use
10.1 Prohibited Conduct
You agree not to use the Service to:
- Track workers outside of their working hours or without their knowledge
- Discriminate against workers based on protected characteristics
- Falsify or manipulate time entries or GPS records
- Submit false clock-in events or GPS coordinates
- Access another Customer's data or Account
- Conduct any automated scraping, crawling, or data harvesting of the Service
- Transmit malware, viruses, or malicious code
- Engage in any activity that interferes with or disrupts the Service
10.2 Worker Dignity
Geowork's GPS and time verification features are designed to support payroll accuracy and site safety. You agree to use these features in a manner consistent with applicable employment laws and with respect for worker dignity and privacy rights.
11. Intellectual Property
11.1 Geowork IP
The Service, including all software, design, trademarks, documentation, and content created by Geowork, is owned by GKTech Solutions, LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights in Geowork's intellectual property except the limited license in Section 3.
11.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Geowork a perpetual, royalty-free license to use that feedback for any purpose without obligation to you.
12. Confidentiality
Each party agrees to keep confidential any non-public information of the other party disclosed in connection with these Terms and to use such information only in furtherance of the purpose of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
13. Warranties and Disclaimers
13.1 Service Warranty
Geowork represents that the Service will perform materially in accordance with its documentation under normal use and conditions.
13.2 Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GEOWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Geowork does not warrant that: (a) the Service will be uninterrupted or error-free; (b) GPS data will be accurate to any specific precision under all conditions; (c) time records generated by the Service will satisfy any specific legal, regulatory, or evidentiary requirement; or (d) the Service will meet your specific business requirements.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
14.1 GEOWORK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, EVEN IF GEOWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 GEOWORK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (a) THE FEES PAID BY YOU TO GEOWORK IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100).
14.3 THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, the limitations above apply to the fullest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Geowork, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your failure to obtain required worker consents; (d) your Customer Data; or (e) your violation of any applicable law.
16. Suspension and Termination
16.1 Termination by You
You may cancel your Subscription at any time through Account settings or by contacting support@geowork.app. Cancellation takes effect at the end of the current billing period for Monthly Plans. Annual Plans are not subject to early termination refunds.
16.2 Termination by Geowork
Geowork may suspend or terminate your Account immediately, with notice, if: (a) you breach these Terms and fail to cure within 10 business days of notice; (b) payment is outstanding after the grace period in Section 4.5; (c) you engage in conduct that Geowork reasonably determines poses a risk to the Service or other users; or (d) required by law or regulatory authority.
16.3 Effect of Termination
Upon termination, your license to use the Service ends immediately. Sections 6 (Customer Data), 8 (Audit Trail), 11 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 19 (Governing Law) survive termination.
17. Privacy
Your use of the Service is also governed by our Privacy Policy, available at geowork.app/privacy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect information about Customers and Authorized Users, including field workers.
18. Changes to Terms
Geowork reserves the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice by email to the Admin User email address on file or by prominent notice within the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to material changes, you may cancel your Subscription before the changes take effect.
19. Governing Law and Disputes
19.1 Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.
19.2 Informal Resolution
Before initiating any legal proceeding, you agree to contact us at support@geowork.app and provide 30 days for us to attempt to resolve the dispute informally.
19.3 Binding Arbitration
If informal resolution fails, all disputes arising from these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in King County, Washington, or remotely by mutual agreement. The arbitrator's decision is final and binding. You waive your right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.
19.4 Exception
Either party may seek injunctive or other equitable relief from a court of competent jurisdiction in King County, Washington, to protect intellectual property rights or confidential information pending arbitration.
20. General
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any Order Form or License Key documentation, constitute the entire agreement between you and Geowork with respect to the Service and supersede all prior agreements and understandings.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
20.3 Waiver
Geowork's failure to enforce any provision of these Terms will not constitute a waiver of its rights.
20.4 Assignment
You may not assign these Terms or your Account without Geowork's prior written consent. Geowork may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets with notice to you.
20.5 Force Majeure
Geowork will not be liable for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, internet outages, government actions, or third-party service failures.
